PTP was founded in 1993 by Mr. Ruoyu Mo, the famous leading authority of Singapore forestry and Mr. Binzhe Shi, the former Asian-Pacific region president of the World Bank. It is a big foreign capital introducing project comprehensively utilizing the forestry resources of Midwest China. It has invested as much as 150 million dollars in China and its registered capital is 52.6 million dollars. In 2006, to enter China’s wood industry, CVC (Private Equity Fund) founded ATP. Then after a series of capital operation, ATP successfully acquired PTP Man-made Forestry Product Group under Carter Holt Harvey and Asian Chuangjian Group, becoming the biggest wood products producer and seller in Asia.

Sichuan Zhongtiandi Forestry (Group) Co. Ltd. is a “all-in-one” private enterprise that integrates forest base construction, wood processing, tree planting, overall forest development, foreign trade and other businesses. It is an “important province-level leading enterprise of agriculture industrialization” in Sichuan Province. It has the management right of wood products import and export trade. It is also an important enterprise of the “ten province level forestry counties” construction project.

As the perennial legal adviser of Zhongtiandi Forestry Group and special counsel of this acquisition project, Tahota Law Firm took part in Zhongtiandi Forestry Group’s acquisition of ATP. This acquisition project involved national assets, foreign bank groups capital pool cleaning and BVI company acquisition within and beyond the border. During the eight months of the project, Tahota working group which includes Jianming Yu, Shuxiao Liu and some other lawyers participated in all the negotiations between Zhongtiandi and bank groups, fund companies, shareholder representatives and their respective lawyers and financial consultants in and out of China. Tahota lawyers offered many specific legal opinions on some key problems, and also drafted, revised related acquisition agreements, loan agreements and other legal documents. When the project came to a deadlock for non-legal reasons, Tahota working group helped the client change their thoughts, design new foreign acquisition programs, build acquisition platform to skirt the obstacles and break the deadlock. Finally, the acquisition agreement was signed. After that, Tahota lawyer group led the design of settlement time plan, actively bringing the acquisition work to an end and turning the acquiring side smoothly into the target firm.

Recently, a grand activity has been held in Leshan to observe the eighth anniversary of Zhongtiandi Forestry Group and the twentieth anniversary of ATP.
