  • Yang Lanyu is a lawyer specialized in international legal service from the beginning of her career, focusing on foreign direct investment, outbound direct investment, international trade and international dispute settlement. As has been educated in both civil law and common law legal systems, Ms. Yang uses this benefit to facilitate her Chinese and foreign clients to handle legal issues in the course of cross-border investment, sales and dispute settlement.     She provides legal services in many cross-border investment projects of well-known state-owned enterprises, such as Luzhou Laojiao Sales Co., Ltd., Sichuan Energy Industry Investment Group Co.,Ltd., China Huashi Enterprises Co., Ltd., Sichuan Tourism and Aviation Investment Co., Ltd and etc. She has served the client’s overseas investment in the areas of real estate, energy, aviation, banking and automobile, covering more than ten countries/regions. Ms. Yang also acts as Chinese counsel for many foreign companies, Joint Ventures and cooperates with foreign lawyers in international disputes, providing legal advise based on the law of People’s Republic of China.

  • Outbound Direct Investment(ODI)

  • 1. Represented a Chinese medical device retailor, as investee, in its equity investment project with a Denmark medical device manufactuer. Responsible for negotiation and transaction documents review.

  • 2. Represented a state-owned company in an approximate 300 million USD acquisition transaction in the area of aviation, including advising transaction structure, carrying out due diligence with a focus on foreign investment restriction.

  • 3. Represented an aviation company with respect to its negotiation and establishment of Joint Venture vehicle in Nepal;

  • 4. Advised a WFOE in the area of lithium production with respect to its establishment in China and introduction of foreign debt, equipty investment and the use of registered capital. Also acted as its general counsel providing daily consultancy on an annul basis.

  • International Dispute Settlement

  • 5. Acted as a private company’s Chinese counsel in its acquisition of a bank in Malta, including cooperation with lawyers from Switzerland, Luxembourg and Malta, participation in business negotiation with the seller and its regulator MFSA, review on transaction documents.

  • 6. Acted for the Chinese defendant in successfully resisting the French plaintiff’s claim of 500,000 USD under a contract dispute.

  • 7. Represented an automobile manufacturer with respect to its establishment of Joint Venture in Iran.

  • 8. Acted as Chinese client’s counsel and cooperated with New Zealand barrister in a contractual dispute on whether the deposit shall be refunded based on the signed clause of MOU.

  • 9. Represented a stated-owned company in connection with a ¥ 6 millon venture capital project in the US. Negotiated with the investees and drafted the transaction documents. Monitered the performance of the whole contract to ensure the investees reach each milestone of business plan.

  • 10. Represented a stated-owned company in due diligence on two mining companies in Thailand with a focus on exploration licence.

  • 11. Acted for the successful Chinese manufactuer in responding to a claim of IP violation made by a German manufactuer in the International Chamber of Commerce.

  • 12. Represented a stated-owned company in its acquisition of a winery yard in Australia via a Hong Kong holding company.

  • 13. Acted for a Mongolia defendant in successfully resisting the Chinese plaintiff’s claim of more than 15 million RMB under an equipment lease agreement.

  • 14. Acted as Chinese client’s counsel and cooperated with Fiji lawyer in an application for the grant of Removal Approval by the High Court of Fiji to remove the illegal occupants from its land.

  • Foreign Direct Investment(FDI)

  • 15. Advised a Polish client with respect to its establishment of WFOE which operates logistics business in China.

  • 16. Acted as Turkish client’s advisor in its mediation with Chinese counterparty in relation to a customized equipment manufacturing agreement dispute.

  • 17. Represented a Hong Kong client in its asset acquisition of the Chinese target’s lands, factories and warehouses for the purpose of conversion to logistics business operation. Responsible for the due diligence and drafting of transaction documents, advised the transaction approach based on the tax-minimized principle.
